In the acquisition agreement Kaplan agreed to assume responsibility for liabilities resulting before the transaction, however the U.S. Department of Education “ultimately holds Purdue and the state of Indiana responsible for liabilities resulting from the operation of Kaplan University”. Through the acquisition, Kaplan guaranteed Purdue priority payments of $10 million a year for the first five years following the transaction, of which $20 million was paid upon closing.
